These Terms of Service ("Terms") govern your access to and use of the Nogbase website, mobile applications, and all related services (collectively, the "Services") provided by Nogbase ("we," "our," or "us"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2. Description of Services

Nogbase is a proptech customer relationship management (CRM) platform designed for property developers. Our Services include tools for pre-sales management, broker management, inventory releases, payment collections, customer handovers, data-driven workflows, automated reminders, and real-time project visibility. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Account Registration and Security

To use certain features of our Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.

4. Subscription Plans and Payment

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to the Services until the end of the paid period.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with these Terms. You agree not to:

6.3 Data Backup

While we take reasonable measures to protect your data, we recommend that you maintain your own backups of your User Content. We are not liable for any loss or corruption of User Content.

The Services, including all software, designs, text, graphics, logos, icons, images, and other content provided by Nogbase, are protected by intellectual property laws and are the exclusive property of Nogbase or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. No right, title, or interest in the Services is transferred to you except as expressly stated herein.

8. Third-Party Services and Integrations

Our Services may integrate with or contain links to third-party services, including but not limited to Meta (Facebook, Instagram), Google, and other platforms. Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the content, functionality, or practices of third-party services. Any data shared with third-party services through our platform integrations is subject to both our Privacy Policy and the third party's privacy policy.

9. Meta Platform Compliance

To the extent that our Services integrate with Meta platforms (Facebook, Instagram), the following terms apply:

• You acknowledge that our Services are not endorsed, sponsored, or administered by Meta Platforms, Inc.
• Any data obtained through Meta platform integrations will be used in compliance with the Meta Platform Terms and Developer Policies.
• You may revoke our access to your Meta platform data at any time by adjusting your settings on the applicable Meta platform or by contacting us.
• We will promptly delete all Meta platform data upon your request or upon notification from Meta that continued use is not authorized.
• We will not transfer Meta platform data to any third party, including data brokers, ad networks, or data analytics providers, except as necessary to provide our Services and only in compliance with Meta's policies.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOGBASE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use the Services.
• Any unauthorized access to or alteration of your data or transmissions.
• Statements or conduct of any third party on the Services.
• Any other matter relating to the Services.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Nogbase and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your User Content.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Services will immediately cease.
• We may delete your account and all associated data after a reasonable retention period.
• Sections of these Terms that by their nature should survive termination shall continue to apply, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

You may terminate your account at any time by contacting us or through your account settings.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Nogbase operates, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association in the jurisdiction where Nogbase operates.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website, updating the "Last Updated" date, and, where appropriate, sending you a notification. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree with the modified Terms, you must discontinue your use of the Services.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nogbase regarding the use of the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or government actions.
